Article 1 — Definitions

UUMNUUMN Boutique Model Management, registered in Emmen, Netherlands. CoC 32139917.
ClientAny legal entity or individual booking one or more models through UUMN.
ModelThe person represented by UUMN who performs the assignment.
AssignmentThe agreed service between client and UUMN (shoot, runway, commercial, etc.).
Day rateThe model’s fee per working day (8 hours), excluding UUMN surcharge and VAT.
SurchargeThe 20% fee added to the day rate, charged to the client as compensation for management, acquisition and administration.
Usage rightsRights to use the model’s images for specified purposes, channels, territory and duration, as defined in the booking confirmation.
Portrait rightThe model’s right to protection of their likeness under Article 21 of the Dutch Copyright Act (Auteurswet).
OptionA temporary right of first refusal to book a model for a specific date, without payment obligation.
ExclusivityA temporary agreement that a model works exclusively for one client or sector, always agreed separately in writing.

Article 2 — Applicability

  1. These terms apply to all offers, agreements and assignments in which UUMN acts as agency.
  2. Deviations are only valid if agreed in writing.
  3. The applicability of the client's own terms and conditions is expressly rejected.
  4. UUMN reserves the right to amend these terms. The most current version is available at uumn.nl. For amendments affecting ongoing agreements, UUMN will notify the client in writing.

Article 3 — Options and bookings

  1. An option gives the client the right of first refusal to book a model for a specific date. Options carry no payment obligation.
  2. Options must be converted to a confirmed booking no later than 3 business days before the assignment date. For options immediately preceding a weekend or public holiday, confirmation is required before 10:00 on the last preceding business day.
  3. A confirmed booking takes priority over an option, but only after consultation with the first option holder, who retains the right to convert their option into a booking.
  4. A booking is final upon written confirmation by both parties and is binding under Article 9.
  5. UUMN reserves the right to withdraw a booking or option up to 12 hours before commencement if there are substantiated grounds to do so.

Article 4 — Rates

  1. All rates are exclusive of the 20% UUMN surcharge and exclusive of VAT.
  2. Rates and usage rights are agreed per assignment in the booking confirmation.

The following rate structure applies unless otherwise agreed in writing:

a. Day rate — A working day is 8 hours including a maximum of 1 hour break. For TV commercials, a working day is 10 hours. Unless an hourly or half-day rate is expressly agreed, the day rate applies regardless of actual time on set.

b. Half day — A half day consists of 4 hours and ends no later than 13:00 or commences from 14:00.

c. Overtime — Overtime is rounded up to the nearest full hour. For full-day bookings, overtime is charged at 1/8 of the day rate, with a maximum of 2 overtime hours. Work performed between 00:00 and 08:00 is charged at twice the applicable hourly rate.

d. Fittings and rehearsals — The first two hours of a fitting or rehearsal are charged at 50% of the applicable hourly rate. All subsequent hours are charged at the full hourly rate.

e. Travel expenses — Travel and accommodation costs are reimbursed by the client as agreed in the booking confirmation. International travel costs must be paid by the client in advance.

f. Travel time — For assignments more than 50km from the model's place of residence, travel time is compensated at 50% of the applicable hourly rate, unless a full-day booking has been agreed.

Article 5 — Surcharges

  1. Additional surcharges apply for usage beyond the standard booking, including:

    — Use across more media, channels or territories than agreed

    — Lingerie or underwear photography

    — Nude photography (see also Article 6)

    — Use for more than one product or campaign

    — Social media, online advertising or digital out-of-home not included in the original agreement

    — Billboard, poster or large-format usage

  2. Where a surcharge has been agreed for a specified period, the full surcharge is due even if the material is not used for the entire period.
  3. The surcharge period begins on the publication date as reported in writing at the time of booking. If no start date was provided, the invoice date applies.

Article 6 — Special assignments

  1. For nude or partially unclothed photography, the minimum age of the model is 18 years. This applies both to the final images and to the situation on set.
  2. Requests for such assignments must be submitted to UUMN in writing in advance. Execution without prior written approval from UUMN is not permitted.
  3. UUMN evaluates such requests on a case-by-case basis and may impose additional conditions, higher fees or on-set supervision as a requirement.

Article 7 — Unauthorised use

  1. The client may only use the imagery in the manner agreed in writing. Any use that deviates in medium, format, duration, territory or otherwise is not permitted without a supplementary agreement.
  2. If the client wishes to use the material in a different way, a written request must be submitted to UUMN. UUMN will respond promptly and may attach additional terms and fees to any approval.
  3. In the event of use in breach of the agreed usage rights, the client is liable to pay a penalty equal to three times the rate that would have applied had correct prior notification been given. This does not affect any further liability.
  4. Upon expiry of the agreed usage period, the client is obliged to actively remove and/or destroy all model imagery, unless a new agreement has been concluded.
  5. It is expressly prohibited to use model imagery for AI model training, digital replicas, deepfakes or synthetic lookalikes without separate written consent from the model and UUMN. Violation entitles UUMN and the model to damages and immediate cessation of use.

Article 8 — Exclusivity and portrait right

  1. Exclusivity is never included in a standard booking and must always be agreed separately in writing, specifying sector, duration and territory.
  2. Exclusivity always carries an additional fee. Without a written exclusivity agreement, the model is free to work for other clients, including in the same sector.
  3. The model retains their portrait right at all times under Article 21 of the Dutch Copyright Act. The client acknowledges and respects this right.

Article 9 — Cancellation by client

  1. For multi-day bookings, the cancellation notice period equals the total duration of the booking, with a minimum of 2 full business days prior to the start date. Cancellation on shorter notice results in the full fee including surcharges and travel costs being due.
  2. For weather-dependent outdoor shoots (agreed in writing as such), the client has the right to cancel once without charge, provided the same model is rebooked. For a second cancellation, 50% of the fee is due. From the third cancellation onwards, the full fee is due.
  3. Force majeure (fire, flood, legal prohibitions, national emergencies) must be demonstrable and exempts the client from cancellation fees, with the exception of costs already incurred.

Article 10 — Payment

  1. UUMN will invoice the client for the amount due.
  2. The client must raise any objection to an invoice in writing, with reasons, within 8 days of the invoice date. Failure to do so constitutes full acceptance of the invoice.
  3. Payment is due within 30 days of the invoice date.
  4. In the event of late payment, the client is automatically in default and interest of 1.5% per month is due on the outstanding amount, with partial months counted as full months.
  5. The client's right to use the imagery only arises upon full payment of all amounts due.
  6. In the event of bankruptcy, suspension of payment or attachment, all UUMN claims become immediately due and payable.

Article 11 — Client obligations and complaints

  1. The client ensures a safe, professional working environment and respects the boundaries and instructions of the model and UUMN.
  2. Minor models may only be used on productions complying with Dutch legal requirements for minors. A parent or chaperone has access to the set at all times.
  3. The client is liable to the model and UUMN for all direct and indirect damage arising from the assignment or from non-compliance with this agreement and/or these terms.
  4. Complaints regarding the model must be submitted promptly and in writing to UUMN at bookings@uumn.nl, with a clear explanation and supporting evidence where possible. Parties will then enter into consultation.

Article 12 — Relationship with the model

  1. All communication regarding pricing, bookings and contracts runs exclusively through UUMN. Direct contact with UUMN models outside designated channels is not permitted without UUMN's prior consent.
  2. Violation entitles UUMN to compensation equal to the missed surcharge, without prejudice to any further claims.

Article 13 — Liability of UUMN

  1. UUMN's liability is limited to the amount of the relevant invoice.
  2. UUMN is not liable for indirect or consequential damages or lost profits.
  3. UUMN does not guarantee exclusive availability of a model unless expressly agreed in writing.
  4. UUMN is not liable for damage caused by the actions or omissions of the model on set, insofar as this falls outside UUMN's sphere of influence.

Article 14 — Governing law and disputes

  1. All agreements with UUMN are governed by Dutch law.
  2. Disputes are submitted to the competent court in Assen, the Netherlands.
  3. Parties will make every effort to resolve disputes amicably in the first instance.
